These Terms of Service (“Terms”) govern your access to and use of the website mydarkstage.com (the “Site”) and the software products offered by My Dark Stage (ABN 65 238 712 701) (“we”, “us”, “our”), including DarkStage (the “Software”). By using the Site or purchasing or using the Software, you agree to these Terms.
1. Who we are

2. The Software
The Software is a macOS application for [brief description of function]. Your use of the Software is also governed by our End User License Agreement (EULA), which is incorporated into these Terms by reference.
3. Purchases and payment
Purchases of licenses are processed by our authorised reseller and Merchant of Record, MOR TBC (“the Reseller”). The Reseller is the seller of record for your transaction and is responsible for billing, payment processing, and the collection and remittance of applicable taxes (including GST/VAT). Your purchase is also subject to the Reseller’s terms and privacy policy.
All prices are shown in USD and exclude taxes unless stated otherwise. Taxes are calculated and displayed at checkout.
4. Licenses
When you purchase the Software you receive a license to use it in accordance with the EULA and the tier you purchased. Licenses are one-time purchases and are not subscriptions. License keys are delivered by email after successful payment.
5. Refunds
Refunds are handled in accordance with our Refund Policy and your rights under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded.
6. Acceptable use
You agree not to:

use the Software for any unlawful purpose;
•
copy, distribute, resell, sublicense, rent, or lease the Software except as permitted by the EULA;
•
reverse engineer, decompile, or disassemble the Software except to the extent permitted by law;
•
circumvent, disable, or tamper with license activation or any security feature.
7. Intellectual property
The Software, the Site, and all related content, trademarks, and materials are owned by My Dark Stage or its licensors and are protected by intellectual property laws. Except for the license granted in the EULA, no rights are transferred to you.
8. Availability and changes
We may update, modify, or discontinue the Software or any feature at any time. We will make reasonable efforts to notify you of material changes that affect a product you have purchased. We may update these Terms from time to time; the “Last updated” date reflects the current version, and continued use after changes constitutes acceptance.
9. Disclaimers
To the maximum extent permitted by law, and subject to any consumer guarantees that cannot be excluded, the Software and Site are provided “as is” and “as available” without warranties of any kind, whether express or implied.
10. Limitation of liability
To the maximum extent permitted by law, and except in respect of liability that cannot lawfully be limited (including under the Australian Consumer Law), our total liability to you arising out of or in connection with the Software or these Terms is limited to the amount you paid for the relevant license. We are not liable for indirect, incidental, special, or consequential loss.
Where the Australian Consumer Law applies and permits us to limit our liability for a failure to comply with a consumer guarantee, our liability is limited (at our option) to replacing the Software, supplying equivalent software, or refunding the price paid.
11. Governing law
These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that jurisdiction.
