This End User License Agreement (“Agreement”) is a legal agreement between you (“you” or “Licensee”) and My Dark Stage (ABN 65 238 712 701) (“we”, “us”, “our”, “Licensor”) for the software product DarkStage, including all components, updates, and documentation (the “Software”).
By downloading, installing, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
1. License grant
Subject to your payment of the applicable license fee and your compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software for your own [personal and/or commercial] purposes, in accordance with the tier you purchased.
2. Activations and devices
Each license may be activated on up to 2 device(s) at a time, according to your purchased tier. You may deactivate a device to free an activation slot via [method — e.g. the app’s license settings]. We use device identification and a license key to manage activations.
3. License types
Licenses are one-time purchases (not subscriptions). Your license entitles you to:
•
lifetime use of the version purchased
and
•
the features included in your purchased tier.
4. Restrictions
You must not:
•
copy the Software except as necessary for permitted installation and backup;
•
sell, rent, lease, sublicense, distribute, or transfer the Software or your license key to any third party;
•
share your license key publicly or use it to enable use beyond your permitted activation limit;
•
reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
•
remove or alter any proprietary notices;
•
circumvent, disable, or tamper with license activation or security measures.
5. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly set out in this Agreement.
6. Your content
Any audio or other content you create or process using the Software remains yours. We claim no ownership over your work.
7. Updates
We may provide updates, bug fixes, or new versions. Updates are governed by this Agreement unless accompanied by separate terms.
8. Termination
This license terminates automatically if you materially breach this Agreement (for example, by exceeding activation limits or distributing your key). On termination you must stop using and remove all copies of the Software. Termination does not entitle you to a refund except as required by law or our Refund Policy.
9. Warranties and consumer guarantees
To the maximum extent permitted by law, the Software is provided “as is”. However, nothing in this Agreement excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded. Where permitted, our liability for breach of a non-excludable guarantee is limited (at our option) to replacing the Software, supplying equivalent software, or refunding the price paid.
10. Limitation of liability
To the maximum extent permitted by law, and subject to section 9, we are not liable for any indirect, incidental, special, or consequential loss, and our total liability arising out of or in connection with the Software is limited to the amount you paid for the license.
11. Governing law
This Agreement is governed by the laws of Victoria, Australia.
